E-Neng Network Service Agreement

Introductory Clauses

Welcome to the E-Neng Network Service Agreement (hereinafter referred to as the "Agreement") entered into between you and the operator of E-Neng Network (as defined in the Definitions section). This Agreement governs your use of the services provided by E-Neng Network (the "Services").

From the date of its publication, all references to the "E-Neng Network Service Agreement" on E-Neng Network platforms shall pertain to this Agreement. Key Notes

[Careful Reading] Before clicking "Agree" during the registration process, you must read this Agreement thoroughly. Please ensure you review and fully understand all terms, especially those related to exemption or limitation of liability, governing law, and dispute resolution. Clauses exempting or limiting liability are highlighted in bold and underlined for emphasis. If you have any questions, contact E-Neng Network customer service.

[Binding Action] By completing the registration process—providing required information, reading, and agreeing to this Agreement—you confirm that you have fully read, understood, and accepted all terms herein. You thereby enter into an agreement with E-Neng Network and become a "User" of the platform. If you disagree with any provision of this Agreement, immediately cease registration.

I. Definitions

E-Neng Network: Refers to the websites (including the domain e-neng.net) and client applications operated by E-Neng Network.

E-Neng Network Services: Internet-based services provided by E-Neng Network through its websites, client applications, and other formats (including new service formats arising from future technological developments).

E-Neng Network Rules: Refers to all rules, interpretations, announcements, and other content published or subsequently updated across all E-Neng Network rule channels, including but not limited to guidelines, implementation details, product process descriptions, and announcements posted on forums, help centers, or other platform sections.

Affiliated Companies: Refers to the operator(s) of E-Neng Network, whether individually or collectively (excluding E-Neng Network itself).

Same User: Multiple E-Neng Network accounts sharing identical identity verification information or accounts deemed by E-Neng Network to be under the control of the same individual shall be considered the "Same User."

II. Scope of Agreement

2.1 Contracting Parties

[Equal Parties] This Agreement is entered into between you and the operator(s) of E-Neng Network and is legally binding on both parties.

[Entity Details] The operator(s) of E-Neng Network refer to the legal entity/entities managing the platform. You may review the business license information displayed at the bottom of E-Neng Network’s homepage to identify the specific contracting entity. Under this Agreement:

The operator(s) of E-Neng Network may change due to business adjustments. The new operator(s) shall assume all rights and obligations herein and continue providing Services, with no impact on your rights under this Agreement.

Additional operators may be introduced to offer new Services. By using such new Services, you agree to be bound by this Agreement with the new operator(s).

In case of disputes, the contracting party and counterparty to the dispute shall be determined based on the specific Services used and the entity whose actions affect your rights.

2.2 Supplementary Agreements

Given the rapid evolution of internet technology, the terms outlined in this Agreement may not fully encompass all rights and obligations between you and E-Neng Network, nor guarantee alignment with future developments. Therefore:

E-Neng Network Legal Statements, Privacy Policy, and E-Neng Network Rules constitute supplementary agreements to this Agreement.

These supplementary agreements are inseparable from this Agreement and hold equal legal force.

By using the Services, you expressly consent to these supplementary agreements.

III. Account Registration and Use

3.1 User Eligibility

You confirm that, prior to initiating the registration process to use E-Neng Network Services, you possess the civil capacity commensurate with your actions under the laws of the People’s Republic of China (including but not limited to natural persons, legal entities, or unincorporated organizations). If you lack such capacity, you and your legal guardian shall bear all consequences arising therefrom in accordance with the law.

3.2 Account Guidelines

[Account Creation] Upon completing the registration process by providing required information, reading and agreeing to this Agreement, you will obtain an E-Neng Network account and become a "User."

[Account Usage] You may log into E-Neng Network using your registered member name, email, or mobile number (collectively, "Account Identifier") and password (together, "Account").

Unless restricted by prior registration, you may use your E-Neng Network Account to access other E-Neng Network platforms without additional setup.

[Account Transfer] User Accounts are tied to credit information and may only be transferred if expressly permitted by law, judicial order, or E-Neng Network’s consent, and only through the transfer process defined in E-Neng Network Rules. Upon transfer, all rights and obligations under the Account transfer to the transferee. Unauthorized transfers are prohibited, and you assume full liability for violations.

[Real-Name Authentication] While E-Neng Network is not legally obligated to mandate real-name authentication for all users, we strongly recommend completing this process per our requirements and PRC laws to enhance your access to Services.

[Inactive Account Termination] E-Neng Network reserves the right to deactivate Accounts meeting all of the following criteria:

(1) Not linked to a real-name authenticated Account;

(2) No login activity across any E-Neng Network platform for six consecutive months;

(3) No active or pending services.

3.3 Registration Information Management

3.3.1 Authenticity and Legality

[Accurate Information] When using the Services, you must provide complete and accurate information (e.g., name, email, contact number, address) as prompted. Impersonation of others or misuse of company/organization names is strictly prohibited. You acknowledge that maintaining truthful and valid information is your obligation, and you bear legal liability for infringement or losses caused by false information.

[Member Name Compliance] Your chosen member name must comply with PRC laws and E-Neng Network Rules. Non-compliant names may be revoked by E-Neng Network.

3.3.2 Updates and Maintenance

You must promptly update your information. Where PRC law requires E-Neng Network (as a platform service provider) to verify specific user information (e.g., for suppliers), you agree to cooperate by providing current, truthful, and complete details.

Failure to respond to E-Neng Network’s contact attempts (using your last-provided information), delayed updates, or provision of demonstrably false information will render you liable for all resulting losses to yourself, others, or E-Neng Network.

3.4 Account Security

[Safeguard Obligation] Your Account is self-managed, and E-Neng Network will never proactively request your credentials. You are responsible for safeguarding your Account. Ensure you log out properly at the end of each session and exit the platform securely.

III. Account Registration and Use (Continued)

[Losses Due to Account Breach] You bear full responsibility for any losses or consequences resulting from voluntary disclosure of your Account credentials or actions such as hacking or fraud by third parties.

[Account Activity Liability] Unless E-Neng Network is at fault, you are solely responsible for all activities under your Account, including but not limited to signing agreements online, posting information, purchasing products/services, and disclosing information.

[Maintenance Guidelines] If you suspect unauthorized access to your Account or potential theft/loss, notify E-Neng Network immediately and authorize us to investigate and take appropriate action. You acknowledge that E-Neng Network requires reasonable time to act on such requests and, unless E-Neng Network is at fault, shall not be liable for consequences arising before action is taken.

IV. E-Neng Network Services and Guidelines

[Service Overview] You may access services such as enterprise store management, product/service sales and promotion, purchasing, evaluation, and dispute resolution. For detailed services, visit E-Neng Network.

4.1 Enterprise Content Management

[Store Creation] By creating an enterprise store on E-Neng Network, you can publish product/service information and conduct transactions with other users.

To ensure platform integrity, each user is limited to one enterprise store. E-Neng Network reserves the right to close additional stores opened by the same user.

[Store Transfer] Enterprise store transfers are treated as Account transfers and are subject to the terms outlined in Section 3.2 of this Agreement.

[Store Closure] If your enterprise store has no listed products for six consecutive weeks, E-Neng Network may close it per platform rules. Such closure does not affect your accumulated credit.

4.2 Product/Service Sales, Leasing, and Promotion

[Product/Service Listings] You may use text, images, videos, or audio to publish product/service information, attract potential buyers, and complete transactions.

[Prohibited Items/Services] Ensure you have the legal rights to list products/services. The following are prohibited:

(1) Items/services banned or restricted by law;

(2) Items/services infringing on intellectual property or other legal rights;

(3) Items/services deemed unsuitable per E-Neng Network Rules or separate agreements.

[Transaction Integrity] Adhere to principles of good faith by ensuring listings are accurate and match the actual products/services offered. Fulfill all transaction commitments.

Maintain fair competition by refraining from disparaging competitors, disrupting transactions/activities, or engaging in credit manipulation. Do not interfere with E-Neng Network’s operations.

[Promotions] You may choose your promotion methods, and E-Neng Network provides various tools for this purpose. Ensure promotions comply with laws and platform requirements.

[Tax Compliance] As a legal obligation, you must timely and fully declare and pay taxes on sales/revenue exceeding statutory thresholds.

4.3 Product/Service Purchases, Leasing, and Reviews

[Purchases/Leasing] When purchasing/leasing products/services, verify key details such as name, price, quantity, model, specifications, or service terms. Ensure your contact and delivery information is accurate. If the recipient is not you, you assume all legal consequences of their actions.

Purchases/leases must reflect genuine demand. Malicious transactions, abuse of rights, or actions disrupting platform order are prohibited. E-Neng Network may cancel such transactions to maintain order and security.

For detailed purchase/leasing processes, refer to E-Neng Network’s published guidelines.

[Reviews] You may review products/services from other users you transact with. Reviews are public, but you may choose to post anonymously.

Reviews must comply with E-Neng Network Rules, be objective and truthful, and avoid prohibited content (e.g., profanity, pornography, ads). Do not misuse reviews to manipulate credit or extort others. E-Neng Network may delete or block non-compliant reviews.

4.4 Transaction Payments

You may choose online or offline payment methods. For online payments, E-Neng Network holds funds until the buyer confirms receipt or the transaction period ends, after which funds are released to the seller.

E-Neng Network acts as an intermediary for payment collection and disbursement, providing proof of payment but not liable for disputes over payment amounts or product quality, which must be resolved between buyers and sellers.

For leasing transactions, E-Neng Network handles security deposits similarly, without liability for disputes over payment or equipment quality, which are resolved between lessors and lessees.

IV. E-Neng Network Services and Guidelines (Continued)

4.5 Dispute Resolution

[Dispute Resolution Channels] If a dispute arises between you and another user during a transaction on E-Neng Network, either party may choose one of the following resolution methods:

(1) Negotiate directly with the other party;

(2) Use E-Neng Network’s dispute mediation service;

(3) Request mediation by a consumer association or other legally recognized mediation organization;

(4) File a complaint with the relevant administrative authorities;

(5) Submit to arbitration based on an arbitration agreement (if any);

(6) File a lawsuit in a people’s court.

[Platform Mediation Service] If you choose E-Neng Network’s mediation service, you agree that E-Neng Network’s customer service or public reviewers (“Mediators”) will act as independent third parties to make decisions based on the facts of the dispute and E-Neng Network Rules. Decisions may include adjusting transaction status, allocating disputed funds to one or both parties, etc.

You may opt for other resolution methods before a mediation decision is made.

If dissatisfied with the mediation decision, you may pursue other resolution methods. However, unless a final decision is reached through other channels, you must first comply with the mediation decision.

4.6 Fees

E-Neng Network incurs significant costs to provide its services. While most services are currently free, E-Neng Network reserves the right to charge reasonable fees in the future. You will be notified in advance through legal procedures and the methods outlined in Section VIII of this Agreement, ensuring you have ample time to decide.

4.7 Liability Limitations

[Force Majeure] E-Neng Network provides services “as is” and “as available.” While we fulfill basic legal obligations, we are not liable for damages caused by:

Network or equipment maintenance failures;

Computer, communication, or system malfunctions;

Power outages, strikes, riots, fires, floods, storms, explosions, wars, government actions, judicial orders; or

Third-party actions.

[Massive Information] E-Neng Network facilitates transactions but does not verify all user-posted information. Given the vast volume of data and the separation of online information from physical goods, E-Neng Network cannot individually review the quality, safety, legality, authenticity, or accuracy of products/services. Exercise caution when making decisions.

[Mediation Decisions] You acknowledge that E-Neng Network’s customer service and public reviewers are not professionals and make decisions based on ordinary judgment. Unless intentional misconduct occurs, Mediators are exempt from liability for mediation decisions.

V. User Information Protection and Authorization

5.1 Personal Information Protection

E-Neng Network highly values the protection of your personal information (i.e., data that can identify you independently or in combination with other information).

By using our services, you agree to our Privacy Policy (accessible via the link at the bottom of E-Neng Network’s homepage), which outlines how we collect, store, use, disclose, and protect your personal information. We recommend reading the Privacy Policy in full to better understand your privacy rights.

5.2 Non-Personal Information Guarantee and Authorization

[Information Posting] You declare and guarantee that you have the legal rights to post any information on E-Neng Network. Otherwise, E-Neng Network may delete or block such information per applicable laws or this Agreement.

[Prohibited Content] Ensure your posted information does not include:

(1) Content violating national laws and regulations;

(2) Political propaganda, superstition, obscenity, pornography, gambling, violence, terrorism, or incitement to crime;

(3) Fraudulent, false, inaccurate, or misleading content;

(4) Content infringing on intellectual property rights, trade secrets, or other proprietary rights;

(5) Content defaming, threatening, or violating others’ privacy or legal rights;

(6) Malware, viruses, trojans, crawlers, or code that may disrupt, alter, delete, or unauthorizedly access E-Neng Network’s systems or user data;

(7) Other content violating public interests, morals, or E-Neng Network Rules.

[Authorization for Use] For non-personal information (e.g., text, images, videos, audio) you provide or post, you grant E-Neng Network and its affiliates a global, exclusive, royalty-free license to use, reproduce, modify, publish, display, translate, distribute, and create derivative works. This license includes the right to sublicense to third parties.

To facilitate your use of E-Neng Network and related services, you authorize E-Neng Network to share information provided during registration and service usage with other service providers or obtain such information from them.

VI. User Default and Handling

6.1 Determination of Default

If either of the following situations occurs, it will be regarded as your default:

(1) Violating relevant laws and regulations when using E-Neng Network services.

(2) Breaching the terms of this agreement or its supplementary agreement (as stipulated in Article 2.2 of this agreement).

To adapt to the development of e-commerce and meet the massive users' demand for efficient and high-quality services, you understand and agree that E-Neng Network may specify the procedures and standards for determining default in its rules. For example, E-Neng Network may determine whether you have defaulted based on the relationship between your user data and the data of numerous users.

You are obliged to provide sufficient evidence and reasonable explanation for any abnormality in your data; otherwise, you will be deemed in default.

6.2 Default Handling Measures

【Information Handling】If the information you publish on E-Neng Network constitutes a default, E-Neng Network may immediately delete, shield, or take down/regulate your products according to relevant rules.

【Behavior Restriction】If your actions on E-Neng Network, or those outside the platform that affect E-Neng Network and its users, constitute a default, E-Neng Network may take measures such as deducting points from your account, restricting participation in marketing activities, suspending part or all services, or deducting default fines in accordance with relevant rules.

If your actions amount to a fundamental default, E-Neng Network may seal your account and terminate services.

【Account Handling】If your default involves specific situations like fraud, selling counterfeits, or unauthorized account use, or poses a risk to others' transaction or account security, E-Neng Network will take mandatory measures like canceling collections or freezing funds based on the risk level of your actions.

【Publicizing Handling Results】E-Neng Network may publicize information about the handling of your default, as well as other illegal information confirmed by effective legal documents from administrative or judicial authorities, on the E-Neng Network platform.

6.3 Compensation Liability

If your actions cause losses to E-Neng Network and/or its affiliates (including direct economic losses, reputational damage, and indirect economic losses such as compensation, settlements, legal fees, and litigation costs paid to external parties), you must compensate for all these losses.

If third parties assert rights against E-Neng Network and/or its affiliates due to your actions, E-Neng Network and/or its affiliates may recover all losses from you after compensating the third parties.

If your actions cause third-party losses or you fail to comply with dispute resolution decisions, E-Neng Network and/or its affiliates may deduct the corresponding amount from your account for compensation.

You agree that E-Neng Network may deduct the compensation from your account. If the funds in your account are insufficient, E-Neng Network and/or its affiliates may directly reduce your rights and interests under other agreements and continue to pursue compensation.

6.4 Special Agreements

【Commercial Bribery】If you offer excessive benefits (such as physical goods, cash, cash equivalents, services, or trips) to employees or consultants of E-Neng Network and/or its affiliates beyond normal business negotiation ranges, it will be regarded as commercial bribery.

In such cases, E-Neng Network may immediately terminate all cooperation with you and claim default and/or compensation based on the economic and reputational losses caused by your bribery.

【Associated Handling】If your serious default leads to the termination of this agreement by E-Neng Network, to maintain platform order and protect consumer rights, E-Neng Network and/or its affiliates may suspend or terminate agreements under other cooperation with you and notify you as stipulated in Article 8 of this agreement.

If other agreements between E-Neng Network and you, or between E-Neng Network and/or its affiliates and you, explicitly provide for associated handling of cooperation under this agreement, E-Neng Network, to maintain platform order and protect consumer rights, may suspend or terminate the agreement upon receiving instructions and notify you as stipulated in Article 8 of this agreement.

VII. Modification of the Agreement

E-Neng Network may modify this Agreement and supplementary agreements, in accordance with national laws and regulations, to maintain transaction order and protect consumer rights. The modified Agreement and supplementary agreements (hereinafter referred to as "the Changes") will be notified to you in accordance with the procedures stipulated in Article 8 of this Agreement.

If you disagree with the Changes, you may contact E-Neng Network to provide feedback before the effective date of the Changes. If your feedback is adopted, E-Neng Network will adjust the Changes at its discretion.

If you still disagree with the effective Changes, you should cease using E-Neng Network services from the effective date. The Changes will not apply to you. However, if you continue to use the services after the effective date, it will be regarded as your acceptance of the Changes.

E-Neng Network Privacy Policy Terms

E-Neng Network respects and protects the personal privacy rights of all users utilizing the services of the E-Neng Network platform. To provide you with more accurate and personalized services, E-Neng Network will use and disclose your personal information in accordance with the provisions of this Privacy Policy. However, E-Neng Network will treat such information with the utmost diligence and duty of care. Except as otherwise stipulated in this Privacy Policy, E-Neng Network will not disclose your information to the public or provide it to any third party without obtaining your prior consent. E-Neng Network may update this Privacy Policy from time to time. By agreeing to the E-Neng Network Service Agreement, you are deemed to have fully consented to all terms of this Privacy Policy. This Privacy Policy constitutes an integral and inseparable part of the E-Neng Network Service Agreement.

1. Scope of Application

a) When you register or activate an account to log in to the E-Neng Network Platform, the personal registration information you provide on the E-Neng Network Platform or other platforms (excluding enterprise names, business registration information required by laws and regulations to be publicly disclosed, as well as information of individual business operators).

b) When you use the services of the E-Neng Network Platform or visit its webpages, the E-Neng Network Platform will automatically receive and record information from your browser and computer, including but not limited to your IP address, browser type, language used, access date and time, software/hardware characteristics, and webpage records you request. If you download or use the E-Neng Network Platform or its affiliated companies’ mobile client software, or access mobile webpages to use the platform’s services, the E-Neng Network Platform may access location and mobile device-related information, including but not limited to device model, device identifier, operating system, resolution, telecom carrier, and other relevant data.

c) The E-Neng Network Platform obtains users’personal data from commercial partners through legitimate means.

You understand and agree that the following information is not applicable to this Privacy Policy.：

a) The keyword information you input when using the search services provided by the E-Neng Network Platform.；

b) When you do not enable the 'Anonymous Purchase' and/or 'Anonymous Review' features, the E-Neng Network Platform collects transaction-related data generated from your activities on the platform, including but not limited to bids, transaction records, and evaluation details.

c) Credit evaluations, violations of legal regulations or breaches of the E-Neng Network Platform rules, and corresponding measures taken by the E-Neng Network Platform regarding such actions.

2. Use of Information

a) The E-Neng Network Platform will not provide or share your personal information with third parties (except for E-Neng Network Platform affiliates) unless prior consent is obtained from you, ​or unless such third parties and the E-Neng Network Platform (including its affiliates) are acting individually or jointly to provide services to you, in which case, after the termination of such services, they will be prohibited from accessing all such materials, including those previously accessible to them.

b) The E-Neng Network Platform strictly prohibits any third party from collecting, editing, selling, or disseminating your personal information through any means. Any user of the E-Neng Network Platform found engaging in such activities will be subject to immediate termination of their service agreement by the E-Neng Network Platform upon discovery.

c) For the purpose of serving users, the E-Neng Network Platform or its affiliates may use your personal information to provide you with information that may be of interest to you, including but not limited to sending you product and service updates, presenting personalized third-party promotional information through our systems, ​or sharing information with E-Neng Network Platform partners to allow them to send you communications about their products and services (the latter requiring your prior consent).

d) The E-Neng Network Platform may use your personal information to prevent, detect, and investigate fraud, security threats, illegal activities, or violations of the agreements, policies, or rules of the E-Neng Network Platform or its affiliates, in order to safeguard the legitimate rights and interests of you, other users, and the E-Neng Network Platform and its affiliates.

3. Disclosure of Information

Under the following circumstances, the E-Neng Network Platform will disclose your personal information in whole or in part in accordance with your personal consent or legal requirements.

a) Disclosed to third parties with your prior consent.

b) If you are an eligible intellectual property complainant and have filed a complaint, the E-Neng Network Platform will disclose relevant information to the respondent upon their request, in order to facilitate the resolution of potential rights disputes between both parties.

c) Disclosed to third parties or administrative/judicial authorities in accordance with relevant legal provisions or upon the request of administrative or judicial authorities.

d) If you are found to have violated relevant Chinese laws and regulations, or the E-Neng Network Platform Service Agreement or related rules, your information may be disclosed to third parties.

e) In order to provide the products and services you have requested, it is necessary to share your personal information with third parties.

f) In the event that either party involved in a transaction created on the E-Neng Network Platform has fulfilled or partially fulfilled their transactional obligations and submits a request for information disclosure, the E-Neng Network Platform reserves the right to provide such user with necessary information about their counterparty—including contact details—to facilitate the completion of the transaction or resolution of disputes.

g) Other disclosures deemed appropriate by the E-Neng Network Platform in accordance with applicable laws, regulations, or platform policies.

4. Storage and Transfer of Information

The information and data collected by the E-Neng Network Platform regarding you will be stored on servers operated by the E-Neng Network Platform and/or its affiliates. Such information and data may be transferred to, accessed, stored, and displayed in jurisdictions outside your country/region of residence or the location where the E-Neng Network Platform collected the information and data.

5. Use of Cookies

a) If you have not refused to accept cookies, the E-Neng Network Platform will set or access cookies on your device to enable you to log in or use services/features that depend on cookies. The use of cookies allows the E-Neng Network Platform to provide enhanced personalized services, including promotional offerings.

b) You have the right to accept or refuse cookies. You may refuse cookies by modifying your browser settings. However, if you choose to refuse cookies, you may be unable to log in or use E-Neng Network Platform services or features that rely on cookies.

c) Information obtained through cookies set by the E-Neng Network Platform will be subject to this Policy.

6. Information Security

a) The E-Neng Network Platform implements security protection features for your account. Please properly safeguard your account credentials (username and password). To ensure the integrity of your information and prevent loss, misuse, or tampering, the E-Neng Network Platform employs security measures such as multi-server backup systems and encryption of user passwords. While these safeguards are rigorously maintained, please note that no absolute security exists in cyberspace, and no impervious safeguards can be guaranteed.

b) When using the E-Neng Network Platform services for online transactions, ​you will inevitably need to disclose personal information such as contact details or postal addresses to counterparties or potential counterparties. ​You must diligently protect your personal information and only provide it to others when absolutely necessary. Should you discover any compromise of your personal information—particularly if your account credentials (username and password) have been breached—immediately contact E-Neng Network Platform customer support to enable the implementation of appropriate security countermeasures.

7. Special Considerations for Minors

If you are not a natural person with full legal capacity and full civil competence, you are not authorized to use the services of the E-Neng Network Platform. Therefore, the E-Neng Network Platform explicitly requests that you refrain from providing any personal information to us.
